HIPAA and BAAs — Term, termination & data return

Term. The Agreement takes effect on the date of the second signature and continues until the Underlying Agreement ends or the Agreement is terminated under this section, whichever is first. Termination for cause. Either party may terminate the Agreement, and Covered Entity may additionally terminate the Underlying Agreement, if the other party materially breaches this Agreement and fails to cure within thirty (30) days of written notice. Where cure is impossible, the non-breaching party may terminate on notice.
